Terms of Service

By accessing or using Paydrak, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

These terms constitute a legally binding agreement between you and Paydrak. You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

Paydrak provides a platform that facilitates cryptocurrency exchange transactions. Our services include rate comparison, transaction facilitation, and related tools.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice or liability.

To use Paydrak, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Provide accurate and complete information during registration
• Comply with all applicable laws in your jurisdiction
• Not be prohibited from using our services by any law or regulation

We reserve the right to refuse service to anyone for any reason at our sole discretion.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and up-to-date information
• Ensuring your account details and payment methods are correct

We are not liable for any losses resulting from unauthorized use of your account, whether or not you have notified us of such use.

You agree NOT to:

• Use our services for any illegal purpose or in violation of any laws
• Engage in fraudulent transactions or money laundering
• Provide false or misleading information
• Attempt to manipulate exchange rates or exploit system vulnerabilities
• Use our services to facilitate transactions for third parties without authorization
• Reverse engineer, decompile, or attempt to extract our source code
• Use automated tools or bots without permission
• Interfere with or disrupt our systems or networks
• Violate any applicable anti-money laundering or counter-terrorism financing laws

Violation of these prohibitions may result in immediate account termination and legal action.

Initiating Transactions:

• You are responsible for ensuring all transaction details are correct before confirmation
• Exchange rates are indicative and may change before transaction completion
• Transactions are subject to availability and acceptance
• We may decline or cancel transactions at our discretion

Transaction Finality:

• All transactions are final once confirmed on the blockchain
• Cryptocurrency transactions cannot be reversed or canceled
• You are responsible for verifying recipient details before sending
• We cannot recover funds sent to incorrect addresses

Processing Times:

• Processing times are estimates and not guaranteed
• Delays may occur due to network congestion, verification requirements, or technical issues
• We are not liable for delays beyond our reasonable control

Fees are displayed before you confirm transactions. By proceeding with a transaction, you agree to pay all applicable fees.

We reserve the right to modify our fee structure at any time. Changes will be effective immediately for new transactions. Fees are non-refundable except as required by law.

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW:

Service Provided "As Is":

Paydrak is provided without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.

Liability Cap:

Our total liability to you for any claims arising from these terms or your use of our services shall not exceed the fees you paid to us in the three (3) months preceding the claim.

Excluded Damages:

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses.

User Responsibility:

You are solely responsible for verifying transaction details, securing your account, complying with applicable laws, and assessing the risks before using our services.

We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, war, or terrorism
• Government actions, regulations, or orders
• Internet or telecommunications failures
• Blockchain network congestion or failures
• Third-party service provider outages
• Cyberattacks or security incidents

You agree to indemnify, defend, and hold harmless Paydrak, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Any false or misleading information you provide

Informal Resolution:

Before filing any formal action, you agree to contact us at helpdesk@paydrak.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.

Governing Law:

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved exclusively in Nigerian courts.

Arbitration (Optional):

For disputes under ₦5,000,000, parties may agree to binding arbitration under Nigerian Arbitration and Conciliation Act.

By You:

You may close your account at any time by contacting helpdesk@paydrak.com. Pending transactions must be completed before closure.

By Us:

We reserve the right to suspend or terminate your account immediately without notice if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Provide false information
• Pose a security or legal risk
• Use our services in a manner we deem inappropriate

Upon termination, you remain liable for all obligations incurred prior to termination.

We may modify these Terms at any time. Material changes will be communicated through email or prominent notice on our platform.

Continued use of our services after changes constitutes acceptance of the modified Terms. If you do not agree with changes, you must stop using our services.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to reflect the parties' intention as closely as possible, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paydrak. They supersede any prior agreements or understandings.

No waiver of any provision shall be deemed a further or continuing waiver of that or any other provision.
